MSG Computer Services (MSGCS) is offering the MSGCS website to you, the User, either an individual or company, based on acceptance of the terms, conditions, and notices contained herein. User access and use of this Site constitutes acceptance of these terms and conditions.

The material provided at the Site, including any content or information contained within Site-related offer, product or service, is provided as-is without any warranties of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. The User of this Site assumes total responsibility and risk for their use of this Site and/or Site-related offers, products and services. MSGCS may make changes to this Disclaimer and Terms of Use, to the materials at the Site, Site-related offers, products, services and prices described in them, and/or to terminate any offer, product or service, at any time without notice. MSGCS makes no warranties or representations whatsoever regarding the quality, content, completeness, suitability, adequacy, sequence, accuracy, or timeliness of information and data at the Site.

Limitation of Liability. In no event will MSGCS, its employees, affiliates, associates, subsidiaries, officers, agents, or suppliers, be responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive or other damages arising out of or relating in any way to the Site, including any risk to User's computer, software or data being damaged by any virus, software, or any other file which might be transmitted or activated via a MSGCS web page or User's access to it, the inability to access the Site, Site-related offers, products or services, content or information contained within the Site. As a condition of use of MSGCS's Site, the User agrees to indemnify MSGCS, its employees, affiliates, associates, subsidiaries, officers, agents and suppliers, against any and all liability, expenses (including attorney's fees) and damages arising out of claims resulting from User's use of this website, including without limitation any claims alleging facts that if true would constitute a breach by User of these terms and conditions. The User's sole remedy is to stop using the Site and the offers, products and services within the Site.

Ownership and Use of Content. The copyright in this Site, contents (except for certain material that is made available through affiliation or part of public domain), including, without limitation, all graphics, text, and computer programs contained therein, the underlying code, the pages displaying this Site and the arrangement of the Site is owned by MSGCS, unless otherwise indicated. You may not modify, or use the pages, text, images, or content from this Site for any other purpose; doing so is a violation of MSGCS's copyrights and other proprietary rights.

Third Party Links. There are links and pointers to third party Internet websites contained in the MSGCS website. These sites linked from MSGCS website are not under MSGCS's control. MSGCS does not assume any responsibility or liability for any information, communications or materials available at such linked sites, or at any link contained in a linked site. Unless otherwise specified, there is no agency, affiliation, partnership, joint venture, employee--employer or franchiser--franchisee relationship between MSGCS, its affiliates, subsidiaries, and any Third Party Links. MSGCS does not intend these third party links to be referrals or endorsements of the linked entities by MSGCS, and are provided for convenience only. Each individual site has its own set of policies about what information is appropriate for public access. User assumes sole responsibility for use of third party links and pointers.

User Disclaimer. User acknowledges that no affiliation, joint venture, partnership, employment or agency relationship exists between the User and MSGCS as a result of this Agreement or use of this Site. User agrees not to hold himself or herself out as a representative, agent, or employee of MSGCS and MSGCS shall not be liable for any representation, act or omission of the User.

Jurisdiction and Waiver of Jury Trial. MSGCS controls and operate this Site from its offices within the Philippines. MSGCS does not claim that products, services and materials in this Site are available for use in locations other than places in which said products, services and materials are authorized. A User choosing to access this Site from other locations, do so on own initiative, and is responsible for compliance with any and all applicable laws. The laws of the Republic of the Philippines govern these terms. If a User takes legal action relating to this Site or these terms, the User agrees to file such action only in the Regional Trial Court of Paranaque City, Philippines, and the User consents and submit to the personal jurisdiction of those courts for the purposes of litigating any such action.

Submitting Proposals and/or Requests. MSGCS is a professional organization dedicated in maintaining a very high degree of quality and integrity in business origination. No oral representation is ever made. If a User submits an application, transaction, or request, referred to herein as a Proposal or Proposals, and said Proposal is rejected by MSGCS, in most cases, the User will not be notified. When submitting documentation to MSGCS, a User must submit documentation that does not have to be returned. Documentation submitted to MSGCS will not be returned. Further, all Proposals submitted to MSGCS must include; the Full Name, Address, Telephone Number and E-mail Address of the User. Proposals that have been accepted for further consideration by MSGCS are subject to, among other things, qualification, underwriting criteria, and final written approval. A User should not rely on any Proposal that has been accepted for further consideration. MSGCS reserves the right, at any time, without notice to: (1) reject any Proposal, including Proposals that had been accepted for further consideration; (2) screen Users; (3) approve or reject and/or terminate the relationship with any User that has submitted a Proposal, or has a Proposal pending with MSGCS.

Use of Information. Any information or documentation submitted to MSGCS shall become and remain the property of MSGCS. Users of this Site agree to have their name and e-mail addresses added to MSGCS's mailing list and to receive periodic updates of products and/or services being offered by MSGCS, its affiliates, subsidiaries, advertisers and/or at this Site. MSGCS will not sell the names of Users, and will only use the names and e-mail addresses as indicated herein. Users should be aware that information sent via the Internet may not be secure and may be intercepted by third parties.

Severability. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitation set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect.
